Terms of Use

1. License Grant
1.1 Free Use
You may use Clams at no cost if:
- Personal Use: Individual or family Bitcoin accounting
- Small Business Use: Organizations with less than $1,000,000 USD in annual gross revenue
1.2 Enterprise License Required
Organizations with $1,000,000 USD or more in annual gross revenue must obtain an enterprise license.

1.3 Revenue Calculation
Annual gross revenue means total revenue from all sources, calculated over your last completed fiscal year or on a rolling 12-month basis, whichever is greater.
2. Permitted Use
2.1 What You Can Do
- Install and use Clams for the purposes described in your license
- Connect your Bitcoin wallets and sync transaction data
- Generate accounting reports and tax documents
- Create backups of your data
2.2 What You Cannot Do
- Resell, redistribute, or sublicense the software
- Use the software for illegal activities
- Remove or modify proprietary notices
- Use the software beyond the scope of your license
3. Your Data
3.1 Ownership and Privacy
- You own all your transaction data
- By default, Clams processes your data locally on your device
- If you connect to Clams Cloud or a remote server, your data is stored on that server
- We do not sell or share your data. For Clams Cloud, our team may access server-side error logs for debugging purposes. See our Privacy Policy for details.
- You are responsible for securing your wallet credentials and data
3.2 Clams Cloud
Clams Cloud is a hosted backend operated by Clams. These additional terms apply when you use it:
Beta Status. Clams Cloud is currently in beta. The service is provided as-is and may contain bugs, experience downtime, or undergo breaking changes. We make no guarantees regarding availability, performance, or data integrity during the beta period.
Data Transmission. When you connect to Clams Cloud, your transaction data is transmitted to and stored on our servers.
Error Logging. We collect server-side error logs to maintain and improve the service. We use commercially reasonable efforts to redact sensitive information from these logs but cannot guarantee complete redaction. See our Privacy Policy for details.
Data Portability. You can switch from Clams Cloud to local or self-hosted mode at any time.
Service Changes. We may modify, suspend, or discontinue Clams Cloud at any time. Where practicable, we will provide reasonable notice of material changes or discontinuation.
4. Disclaimers
4.1 Not Financial Advice
Clams provides accounting tools but does not constitute tax, legal, or financial advice. Always consult qualified professionals for advice specific to your situation.
4.2 Use At Your Own Risk
While we strive for accuracy in all calculations, you are responsible for reviewing all reports. Always verify important calculations independently.
This applies to all deployment methods, including Clams Cloud. During beta periods, the risk of service interruption or unexpected behavior may be elevated.
4.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAMS AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, OR DATA ARISING FROM YOUR USE OF THE SOFTWARE.
4.4 No Warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
5. Software Updates
We may release updates, patches, and new versions. Continued use of updated versions constitutes acceptance of these terms as they may be modified.
6. Termination
Either party may terminate this agreement at any time. Upon termination, your right to use Clams immediately ceases and you must delete all copies of the software. Enterprise licenses are annual. Upon expiration or termination, your right to use Clams ceases unless renewed.
7. Compliance
You agree to use Clams only within the scope of your applicable license. Violation of these terms may result in termination of your license and legal action if necessary.
8. General Provisions
8.1 Entire Agreement
These terms constitute the entire agreement between you and Clams regarding use of the software.
8.2 Changes to Terms
We may modify these terms with reasonable notice. Material changes affecting licensing or pricing will be communicated directly when possible.
8.3 Governing Law
These terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
8.4 Severability
If any provision is found unenforceable, the remainder of these terms remains in effect.
